1. Parties

This Digital Product Licence Agreement (“Agreement”) is between Jason Brooks (“we”, “us”, “Licensor”) and you (“Licensee”, “you”). By purchasing or downloading any digital product, you agree to these terms.

2. Nature of the Products

All products are digital creative resources including illustration files (PNG, PDF, PSD, AI, Procreate and related formats). They are provided as professional creative tools, templates, and reference assets for use in the creative process. You are not purchasing ownership of the artwork itself.

3. Licence Grant

We grant you a non-exclusive, non-transferable, revocable licence to use the products in accordance with this Agreement. All intellectual property rights remain with Jason Brooks.

4. Permitted Use (Workflow & Creative Use)

You may use the products as part of your creative and professional workflow, including:

• Personal art and practice.
• Professional illustration and design development.
• Fashion design development and exploration.
• Tracing, sketching over, and using as structural reference.
• Composition planning and concept development.
• Moodboards, ideation, and creative drafting.
• Client work and commercial design processes.
• You may create original finished artwork derived from your use of the products, including for commercial purposes.
• Provided your final work is sufficiently transformed and original, you own the rights to that final creation.

5. Ownership Boundary

Jason Brooks retains full ownership of all original source files, templates, and artwork.

You own only your original final outputs created through your own creative process.

You do not gain any rights in Jason Brooks’s underlying assets.

“Substantially similar” reproductions of the original files or templates are not considered original works.

6. Strictly Prohibited Uses:

6.1 Direct Commercial Use of Jason Brooks Assets

You may NOT use the original files (or lightly modified versions) for:

• Logos or trademarks.
• Branding identity systems.
• Advertising or promotional materials.
• Packaging design.
• Merchandise or print-on-demand products.
• Stock assets or design libraries.

6.2 Redistribution & Competing Products

You may NOT:

• Resell, share, or sublicense the files.
• Upload to marketplaces or asset libraries.
• Create competing products (e.g. pose packs, illustration packs, brushes, templates).
• Offer the files as part of a similar commercial resource.

6.3 Technical & AI Restrictions

You may NOT:

• Use for AI training, machine learning, or datasets.
• Use for NFT creation, blockchain assets, or tokenisation.
• Scrape, extract, or mine the content.

7. Editing & Transformation

You may:

• Trace, modify, adapt, recolour, and restructure the files.
• Combine elements with other creative work.
• Use them as a base for new creative outputs.

However, these modifications must result in new, original creative works, not derivative substitute assets.

8. Downloads & Delivery

• Files are delivered via Shopify after payment.
• Products are provided in ZIP format.
• You are allowed 3 downloads per purchase.
• You are responsible for storing your files after download.

9. Updates

If a product is updated:

• You will be notified.
• Updated files are provided free of charge.
• You may choose whether or not to download updates.

10. Refund Policy

All digital sales are final.

Refunds are only available for:

• Duplicate purchases.
• Incorrect file delivery (where replacement is not possible).

No refunds are provided for compatibility issues or change of mind.

11. Suspension & Termination

We may suspend or revoke your licence (and/or restrict future access to products) if:

• You breach these terms.
• You misuse the products.
• Fraud or abuse is detected.

12. Third-Party Responsibility

You are responsible for ensuring your final commercial work complies with applicable laws and third-party rights. Jason Brooks accepts no liability for downstream use of your work.

13. Disclaimer

Products are provided “as is” without warranties.

We do not guarantee:

• Compatibility with all software.
• Print or colour accuracy.
• Fitness for any specific purpose.

14. Liability Limitation

To the fullest extent permitted by law, Jason Brooks shall not be liable for indirect or consequential losses. Our total liability is limited to the amount paid for the product.

15. Governing Law & Disputes

This Agreement is governed by the laws of England and Wales. Disputes will first be addressed informally. If unresolved, parties agree to mediation before court action in England and Wales.

16. Changes to Terms

We may update these terms from time to time. Updated versions apply to future purchases.

17. Severability

If any part of this Agreement is found unenforceable, the rest remains valid.
